Last week, Dassault Systèmes announced that it had reached an agreement to acquire full ownership of 3DPLM Software Ltd. (3DPLM), its joint venture in India with Geometric Ltd. 3DPLM, formed in 2002 with Dassault, has a team of about 2,000 employees in India working on research and development and services related to Dassault Systèmes’ 3DEXPERIENCE platform and brand applications. In 2002, Geometric was a joint venture with Dassault Systèmes, 3D PLM Software Solutions Ltd. with an equity participation of 58% and 42% respectively. In other words, moving forward to last week, Dassault Systemes said it will acquire all of 3DPLM Software, an R&D company it owns jointly with Geometric, an Indian engineering services provider. The transaction means that the French PLM software group will be able to fully integrate 3DPLM into its operations, which center around its 3D Experience platform.
“It has truly been an exciting relationship, which began in 2002,” said Manu M. Parpia, Managing Director and CEO, Geometric Ltd. “Over the years, Geometric Ltd. has delivered significant value to Dassault Systèmes while, at the same time, its shareholders benefitted from a steady growth in earnings from this unique relationship. I take this opportunity to thank Dassault Systèmes for the partnership and wish 3DPLM employees a very bright future within Dassault Systèmes.” Manu Parpia, CEO of Geometric Ltd. The transaction is part of a complex scheme where Geometric’s business is being transferred to HCL Technologies Ltd, while simultaneously merging Geometric Ltd. into 3DPLM, giving 100 percent ownership of 3DPLM to Dassault Systèmes. The transaction is being undertaken through a court-approved scheme which is subject to shareholder, High Court and other statutory approvals. Closing is expected to take place during the fourth quarter of 2016. 3DPLM being already consolidated in Dassault Systèmes financial statements, the closing of this transaction will be neutral on its revenue and expenses. A sort of relative unknown is that HCL Technologies Ltd. is a multinational IT services company, headquartered in India, and is a subsidiary of HCL Enterprise. Originally the R&D division of HCL Limited, it emerged as an independent company in 1991 when HCL Limited ventured into the software services business. HCL Technologies (aka Hindustan Computers Limited) offers services including IT consulting, remote infrastructure management, R&D, and business process outsourcing. HCL Technologies is on the Forbes Global 2000 list and is among the top 20 largest publicly traded companies in India and had a market capitalization of $22.1 billion as of May 2015. Its service business lines include application, business, engineering and R&D, and infrastructure management. This division delivers integrated transformation services for the applications portfolio of companies in consumer, manufacturing, life sciences, healthcare, public, and financial services domains. HCL’s ecosystem consists of close to 100 companies in various technology areas with which they have formed alliances and partnerships for niche technologies, including Microsoft, Oracle, IBM, VMWare, Amazon Web Services, Symantec, and McAfee. Another twist in and part of the the acquisition is 3DPLM Global Services Pvt. Ltd. (3DGS), services delivery center, dedicated to offering scalable services to Dassault Systèmes, Geometric ,and Dassault Systèmes partners—including systems integrators— for integrating and implementing Dassault Systèmes’ 3DEXPERIENCE platform. The company is a subsidiary of 3DPLM Software Solutions Limited, the joint venture company of Geometric Ltd. and Dassault Systèmes. 3DGS combines the practices of Geometric and Dassault Systèmes in product configuration, technology and services across multiple industries and complements the Dassault Systèmes portfolio. 3DGS provides its services based on predefined offerings and committed work packages delivered through dedicated factories. Its specialties include PLM implementation and i, PLM upgrade and migration, and PLM maintenance and support Will the acquisition mean that DS will add another point to its 3D Experience compass that includes the brands CATIA, SOLIDWORKS, ENOVIA, DELMIA, SIMULIA, GEOVIA, EXALEAD, 3D VIA, BIOVIA, NETVIBES and 3DEXCITE? No. However, 3DPLM will contribute a lot behind the scenes that will benefit all of the DS brands. Thanks for the write-up. FYI, HCL is also an SAP PLM implementer. I was just in India last week and got some good G2 about this acquisition that I can share the next time we share time and space coordinates.
