Agile Appoints CEO

Current CEO Bryan D. Stolle to Focus on Chairman Role

Jan. 23 /PRNewswire/ -- SAN JOSE, Calif., Jan. 23 /PRNewswire-FirstCall/ -- Agile Software Corporation (NASDAQ: AGIL), a leading provider of product lifecycle management (PLM) solutions, today announced that Jay B. Fulcher, Agile's president and chief operating officer, has been appointed chief executive officer effective May 1, 2006. Mr. Fulcher has also been named a member of Agile's board of directors. Agile's current CEO, Bryan D. Stolle, will remain as chairman of the board.

This transition will provide continuity in leadership as Agile continues to focus on solid execution and driving results. Given the demands of Sarbanes-Oxley, the CEO and chairman roles have become far more demanding, complex, and time-consuming. This change ensures that both roles receive the proper focus and attention required in today's business environment.

Mr. Fulcher has been Agile's president and COO since October 2002. During this time, Agile has been the fastest growing PLM company, doubling the size of its product line, and increasing its customer base to over 10,000 customers across multiple product-driven industries. Mr. Fulcher has been instrumental in leading Agile to improved top-line performance, record revenues, and lower operating expenses.

"Jay has brought tremendous leadership to Agile in his role as president and COO over the last three years -- a period where Agile has experienced record growth," said Bryan D. Stolle. "His proven track record in enterprise software and his knowledge of our markets, our products, our partners, and our people make him the ideal choice to lead Agile forward."

Mr. Stolle will continue to serve as chairman at Agile. One of the driving forces behind the PLM category, Mr. Stolle's vision and understanding of the business challenges of product development and innovation in today's complex and increasingly outsourced world has set the stage for PLM, the next critical growth category in enterprise software. Between now and May 1, 2006, when Mr. Fulcher will officially assume responsibility as CEO, Mr. Fulcher and Mr. Stolle will work together to transition to their new roles.

"I'm thrilled to have the opportunity to lead Agile -- a company with a strong reputation for delivering results and market leadership," said Jay B. Fulcher. "As CEO, I will focus primarily on three things: revenue growth, profitability, and scaling our company. We will continue to execute aggressively in order to maximize our market opportunity. Working closely with Bryan and the rest of the management team, I am committed to building on our solid reputation and guiding the company to even higher levels of performance and success in the future."

Agile will host a Web cast today beginning at 2:30 p.m. PST for media and financial analysts. A Web cast of the conference will be available on Agile's Web site at www.agile.com under the 'Investor Relations' section. You may access replays of the Web cast for ninety days after the call at www.agile.com/investors. Additional investor information can be accessed at www.agile.com or by calling Agile's Investor Relations at (408) 284-4011.
